Terms of Service

Please read these terms carefully before engaging with Neel Networks for any web design, development, or digital services. By proceeding with a project, you agree to these terms.

These Terms of Service ("Terms") constitute a legally binding agreement between Neel Networks ("we", "us", "our"), a web design and development company registered and operating from Mumbai, India, and you ("Client"), the individual or business entity engaging our services.

By requesting a quote, signing a proposal, making a payment, or instructing us to begin work in any form — including email instruction — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not engage our services.

Agreement & Who These Terms Apply To

These Terms apply to all services provided by Neel Networks, including but not limited to website design, website development, eCommerce development, mobile app development, SEO services, AIO/AEO/GEO optimisation, AI solutions, graphic design, UI/UX design, website maintenance, prepaid support hours, and any other digital services.

These Terms apply whether the Client is an individual, sole trader, partnership, private limited company, public company, or any other form of legal entity — located anywhere in the world.

These Terms apply to services delivered under the Neel Networks brand (neelnetworks.com) and its local-market brand Mumbai Web Services (mumbaiwebservices.com).

A project is considered formally accepted when the Client pays the advance deposit, provides written instruction to commence work, or signs a proposal or Statement of Work (SOW). Any of these actions constitutes full acceptance of these Terms.

Services

The specific deliverables, features, and scope of services for each engagement will be detailed in a written proposal, quotation, or Statement of Work (SOW) shared with the Client before work begins. In the event of any conflict between these Terms and a specific SOW, the SOW shall take precedence for that project.

Our services include, but are not limited to:

  • Custom website design and development
  • WordPress and WooCommerce development
  • Shopify and eCommerce development
  • MERN Stack and Laravel web application development
  • Mobile application development (iOS and Android)
  • AI solutions, chatbot development, and LLM integrations
  • UI/UX design and graphic design
  • SEO services, AIO, AEO, and GEO optimisation
  • Website maintenance and prepaid support hours
  • Domain and hosting provisioning (subject to separate Domain-Hosting Terms)

All websites and digital products we deliver are built from scratch. We do not use unlicensed themes, templates, or plagiarised code. All third-party components used (frameworks, libraries, plugins) are properly licensed.

Quotes, Invoices & Payment

3.1 Quotations

All quotes are provided in writing and are valid for 30 days from the date of issue unless otherwise stated. Quotes are based on the scope described at the time of enquiry. Any changes to that scope may result in a revised quote.

3.2 Payment Structure

Our standard payment structure is as follows. Specific arrangements may vary and will be confirmed in writing per project:

3.3 Payment Methods

We accept bank transfers (NEFT/IMPS/SWIFT), UPI, PayPal, Wise, and other methods as agreed. All payments must be made in the currency specified in your quotation.

3.4 Late Payments

If a payment is not received within 7 days of the due date, we reserve the right to pause work on the project until the outstanding balance is cleared. We will always notify you before pausing. Continued delay beyond 30 days may result in project cancellation, in which case our Refund Policy will apply.

3.5 Taxes

All prices are exclusive of applicable taxes. Indian clients may be subject to GST. International clients are responsible for any applicable taxes in their own jurisdiction.

Work will not commence — and completed work will not be handed over — until applicable payments have cleared. This protects both parties and ensures project momentum.

Project Process & Approvals

Our standard project process follows these steps. The exact stages may vary for complex or custom projects:

  1. Briefing & DiscoveryWe gather all necessary information about your business, goals, target audience, and design preferences through a structured briefing process.
  2. Free Homepage MockupFor qualifying projects, we provide a free homepage design mockup before full development begins. Client approval of the mockup is required before we proceed.
  3. Design PhaseFull website designs are prepared and shared with the Client for review and approval.
  4. Development PhaseApproved designs are coded and developed. Content provided by the Client is integrated during this phase.
  5. Review & TestingThe completed website is shared in a staging environment for Client review, testing, and sign-off.
  6. Final RevisionsAgreed revision requests are completed. Additional out-of-scope changes are quoted separately.
  7. LaunchFollowing final payment and Client sign-off, the website goes live.
  8. Post-Launch SupportOur free 1-year support period begins from the date of launch.

Written approval at each stage (via email) constitutes formal sign-off. Verbal approvals are not binding. We encourage Clients to keep a record of all approvals.

Revisions, Scope Changes & Additional Work

5.1 Included Revisions

Each project includes a defined number of revision rounds as specified in the project quote or SOW. Revisions are changes to the approved design or content — not new requirements or redesigns.

5.2 Out-of-Scope Requests

Any work requested that falls outside the originally agreed scope — including new pages, new features, structural changes after design approval, or platform changes — will be treated as a new request and quoted separately. We will always seek written approval before proceeding with any out-of-scope work.

5.3 Scope Creep

Significant additions to a project after commencement may extend timelines and require a revised payment schedule. We will notify you promptly and agree on the revised scope and cost before proceeding.

Unlimited Revisions (where offered) refers to revisions within the agreed scope — not unlimited redesigns or feature additions. Our team will always clarify what is and is not included before work begins.

Timelines & Delivery

Estimated timelines are provided in good faith based on the agreed scope at the time of briefing. Most standard websites are delivered within 7–15 working days. Complex projects (eCommerce stores, custom web applications, AI solutions) may take longer as specified in the project SOW.

6.1 Client Delays

Timelines depend on timely delivery of content, feedback, and approvals from the Client. If the Client fails to respond within 5 working days at any project stage, we cannot guarantee the originally agreed delivery date. Prolonged Client delays (exceeding 30 days) may result in the project being paused or rescheduled.

6.2 Our Delays

If we are unable to meet a committed deadline due to reasons within our control, we will notify you promptly and provide a revised timeline. We do not accept liability for consequential losses arising from reasonable delays.

6.3 Force Majeure

Neither party shall be in breach of these Terms if delays or non-performance result from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

Intellectual Property Rights

7.1 Client Ownership Upon Full Payment

Upon receipt of full payment for a completed project, all intellectual property rights in the final delivered work — including design files, code, and written content created by us specifically for you — are transferred to the Client. The Client receives full ownership of the final deliverable.

7.2 Our Tools, Frameworks & Pre-existing IP

We retain ownership of our proprietary tools, methodologies, frameworks, code libraries, and any pre-existing intellectual property used in delivering your project. Where third-party open-source software is used (e.g., WordPress, WooCommerce, React), it remains subject to its own applicable licence.

7.3 Client-Provided Materials

The Client warrants that all materials provided to us — including images, logos, text, trademarks, and data — are owned by the Client or the Client has appropriate rights to use them. The Client indemnifies Neel Networks against any third-party claims arising from Client-provided content.

7.4 Portfolio Rights

Unless the Client explicitly requests otherwise in writing before project commencement, Neel Networks reserves the right to include completed work in our portfolio, case studies, and marketing materials, including our website and social media channels.

7.5 No Transfer Before Full Payment

Intellectual property rights are not transferred until all outstanding payments have been received in full. Files shared during the project for review purposes do not constitute transfer of ownership.

Client Responsibilities

A successful project is a two-way partnership. To enable us to deliver on time and to the agreed standard, the Client agrees to the following:

  • Provide complete and accurate briefing information at the start of the project, including business details, brand assets, and content requirements.
  • Supply all required content — text, images, logos, documents — within agreed timeframes. Delays in content delivery will impact project timelines.
  • Provide timely feedback and approvals at each stage. We request responses within 5 working days at each review stage.
  • Nominate a single point of contact with authority to make decisions for the project. Conflicting feedback from multiple stakeholders can cause delays.
  • Provide necessary access credentials — such as hosting login details, existing CMS access, or third-party API keys — as required for the project.
  • Ensure all content provided is legal and does not infringe third-party rights, contain unlawful material, or violate applicable regulations.
  • Back up existing website data before any migration, redesign, or maintenance work begins.

Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or commercially valuable information shared during the course of the project ("Confidential Information"). This includes but is not limited to business strategies, pricing, client data, access credentials, and unreleased products.

9.1 Our Obligations

We will not disclose the Client's Confidential Information to any third party without written consent, except where required by law or regulation. We will limit access to Confidential Information to team members directly involved in the project.

9.2 Client's Obligations

The Client agrees not to disclose, share, or publish our proprietary processes, pricing structures, internal tools, or unreleased work to third parties.

9.3 NDA

For projects involving particularly sensitive information, a separate Non-Disclosure Agreement (NDA) may be signed on request. We are happy to sign Client-provided NDAs or provide our standard NDA template.

9.4 Data Protection

We handle all personal data in accordance with our Privacy Policy and applicable data protection laws. We do not sell, rent, or share personal data with third parties for marketing purposes.

Support & Maintenance

10.1 Free 1-Year Support

Every website or web application project delivered by Neel Networks includes 1 year of free post-launch support, commencing on the date the website goes live. This support covers:

  • Bug fixes for issues arising from our own code
  • Minor content updates (text, images, simple layout adjustments)
  • Technical queries related to the delivered website
  • Security monitoring guidance for WordPress and CMS-based websites

10.2 What Free Support Does Not Cover

  • New features, new pages, or structural redesigns
  • Issues caused by the Client's own modifications to the code
  • Issues caused by third-party plugin updates or platform changes beyond our control
  • Ongoing SEO management or content creation

10.3 After the Free Support Period

After the free 1-year period, ongoing support is available through our Prepaid Support Hours service or a monthly maintenance retainer. Details are provided at project delivery.

10.4 Domain & Hosting

Free domain and hosting provided as part of qualifying packages are subject to our separate Domain & Hosting Terms, which form part of this agreement by reference.

Warranties & Disclaimers

11.1 Our Warranties

Neel Networks warrants that:

  • All work is produced by our own team or under our direct supervision.
  • We have the right to use all tools, frameworks, and assets incorporated in delivered work.
  • Delivered websites will function as designed and specified at the time of launch, in modern web browsers.
  • We will address any bugs or errors in our own code during the free support period at no charge.

11.2 No Guarantee of Business Results

We do not warrant specific business outcomes including traffic volumes, search engine rankings, revenue growth, lead generation numbers, or conversion rates. These outcomes depend on many factors outside our control including market conditions, competition, and the Client's own business activities.

11.3 Third-Party Services

We are not responsible for the performance, availability, or pricing changes of third-party services or platforms (e.g., WordPress, Shopify, Google, payment gateways, hosting providers). Where we integrate third-party services, we do so in good faith but cannot warrant their continued operation.

Limitation of Liability

To the fullest extent permitted by applicable law, Neel Networks shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill — even if we have been advised of the possibility of such damages.

12.1 Liability Cap

Our total aggregate liability to the Client — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by the Client for the specific project or service giving rise to the claim, in the 6 months preceding the claim.

12.2 Data Loss

We strongly recommend that Clients maintain their own backups of all website files and databases. While we take care during all work, we are not liable for data loss resulting from server failures, third-party platform issues, or Client-side modifications.

12.3 Security

We implement reasonable security practices in all our development work. However, no website or web application can be guaranteed to be entirely free of vulnerabilities. We are not liable for security breaches arising from factors outside our delivered code, including hosting environment vulnerabilities or Client-installed plugins.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

13

Termination

13.1 Termination by Client

The Client may terminate a project at any time by providing written notice. In the event of termination:

  • All work completed up to the termination date is billable and must be paid in full.
  • The advance deposit is non-refundable.
  • If work completed exceeds the advance paid, an invoice for the balance will be issued and is payable within 14 days.
  • If work completed is less than the advance paid, a partial refund may be issued at our discretion, minus any costs already incurred (design, third-party tools, domain/hosting registrations).

13.2 Termination by Neel Networks

We reserve the right to terminate a project or cease providing services if:

  • The Client fails to make payment within 30 days of the due date.
  • The Client provides abusive, threatening, or unlawful instructions.
  • The Client requests that we produce content that is unlawful, defamatory, or in violation of third-party rights.
  • Continued engagement would require us to violate applicable laws.

In such cases, we will invoice for all work completed to the termination date. Payment terms and refund provisions in Clause 13.1 apply accordingly.

13.3 Project Abandonment

If a project becomes inactive due to the Client's non-responsiveness for more than 60 consecutive days, we reserve the right to consider the project abandoned and close it. The advance deposit will be forfeited. If the Client wishes to recommence the project thereafter, a new quote will be issued.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. The Courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms or any project engagement.

14.1 Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this process by sending a written notice to the other party describing the dispute and the resolution sought. If the dispute cannot be resolved within 30 days of such notice, either party may proceed with formal legal action.

14.2 International Clients

Clients located outside India acknowledge that by engaging Neel Networks, they submit to the jurisdiction of the Mumbai courts for any disputes arising from services rendered. This does not affect any mandatory consumer protections available under the Client's local laws where applicable.

15

Amendments

Neel Networks reserves the right to amend or update these Terms at any time. The most current version will always be available at neelnetworks.com/terms-of-service.

For existing projects in progress, material changes to these Terms will be communicated to the Client via email at least 14 days before taking effect. Your continued engagement with us after the effective date of any changes constitutes acceptance of the updated Terms.

For new projects, the Terms in effect at the time of project commencement apply.
